2. Scope of Technology Services

WebUps provides a comprehensive suite of digital services, including custom web engineering, mobile application development, e-commerce architecture, and technical UI/UX design. All services are provided on a professional project basis, with specific deliverables outlined in a separate Statement of Work (SOW).

3. User and Client Eligibility

Our services are strictly intended for professional business entities and individuals who are at least 18 years of age and possess the legal capacity to enter into a binding contract. By engaging us, you represent that you meet these eligibility requirements.

4. Intellectual Property and Ownership

All proprietary code, designs, and intellectual property developed by WebUps remain our exclusive property until full payment is received. Upon final payment, ownership of the final deliverables is transferred to the client, while WebUps retains the right to use non-proprietary code snippets and project case studies for professional portfolio purposes.

5. Professional Engagement and Quoting

All projects begin with a formal consultation and technical analysis. We provide detailed, itemized quotes that remain valid for 14 calendar days. A signed SOW and a non-refundable deposit are required to initiate any development work.

6. Agile Development and Milestone Architecture

We operate using an agile engineering framework. Projects are divided into distinct milestones, each requiring client review and formal sign-off. Delays in client feedback or milestone approval will result in proportional shifts in the final project timeline.

7. Client Obligations and Data Provision

Clients are responsible for providing all necessary business information, brand assets, and technical requirements in a timely manner. WebUps is not liable for delays caused by the client's failure to provide essential project data.

8. Transparent Pricing and Payment Terms

Our pricing is based on technical complexity and resource allocation. We utilize a milestone-based payment structure. All invoices are due within 7 calendar days of issuance. Late payments may result in the suspension of development work.

9. Technical Support and Maintenance

Post-launch technical support is provided for a period of 30 days to ensure a smooth transition. Ongoing maintenance, security updates, and feature enhancements are available under separate professional support agreements.

10. Professional Workmanship Warranty

WebUps warrants that all deliverables will be engineered to professional industry standards and will function as specified in the SOW. This warranty is valid for 30 days post-launch, provided no third-party modifications have been made to the code.

11. Limitation of Professional Liability

To the maximum extent permitted by law, WebUps shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from the use of our services or website.

12. Indemnification and Legal Protection

You agree to indemnify and hold WebUps harmless from any claims, damages, or legal costs arising from your breach of these terms or your use of the final deliverables in a manner that violates third-party rights or laws.

13. Confidentiality and Non-Disclosure

Both parties agree to maintain the strict confidentiality of all proprietary business information, trade secrets, and technical data exchanged during the course of the professional engagement.

14. Third-Party Integrations and APIs

WebUps often utilizes third-party APIs and services. We are not responsible for the performance, uptime, or data practices of these third-party providers. All integrations are subject to the terms of the respective providers.

15. Service Suspension and Termination

Either party may terminate the engagement for a material breach of these terms. WebUps reserves the right to suspend services for non-payment or if the client's actions compromise our professional integrity or technical infrastructure.

16. Governing Law and Dispute Resolution

These terms are governed by the laws of the State of Bihar, India. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Patna, Bihar.

17. Force Majeure and Unforeseen Events

WebUps is not liable for failures or delays caused by events beyond our reasonable control, including natural disasters, internet outages, or government actions.

18. Severability and Entire Agreement
